This Licensing Agreement ("Agreement") is entered into by and between Motoyard ("Licensor") and the licensee ("Licensee") as of the effective date of acceptance by Licensee.
- Grant of License
1.1 Subject to the terms and conditions of this Agreement, Licensor hereby grants Licensee a non-exclusive, non-transferable license to use the motorbikes provided by Licensor ("Licensed Products") for the duration of the rental period specified by Licensor.
1.2 The license granted herein permits Licensee to use the Licensed Products solely for the purpose of personal transportation and enjoyment. Licensee shall not use the Licensed Products for any commercial or unlawful purpose.
- Rental Terms
2.1 Licensee shall pay the rental fees specified by Licensor for the use of the Licensed Products. Rental fees shall be paid in advance and are non-refundable.
2.2 Licensee shall return the Licensed Products to Licensor in the same condition as received, normal wear and tear excepted, upon the expiration of the rental period. Licensee shall be responsible for any damage to the Licensed Products beyond normal wear and tear.
- Ownership and Restrictions
3.1 Licensor retains all right, title, and interest in and to the Licensed Products, including all intellectual property rights therein. This Agreement does not convey to Licensee any ownership interest in the Licensed Products.
3.2 Licensee shall not sublicense, assign, transfer, or otherwise dispose of the Licensed Products or any rights granted under this Agreement without the prior written consent of Licensor.
- Warranty and Disclaimer
4.1 Licensor warrants that the Licensed Products will be free from defects in materials and workmanship for the duration of the rental period.
4.2 EXCEPT AS EXPRESSLY PROVIDED HEREIN, LICENSOR MAKES NO WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO THE LICENSED PRODUCTS, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
- Limitation of Liability
5.1 TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE LICENSED PRODUCTS.
- Termination
6.1 This Agreement shall terminate automatically upon the expiration of the rental period. Either party may terminate this Agreement immediately upon written notice to the other party in the event of a material breach of this Agreement by the other party.
- Governing Law
7.1 This Agreement shall be governed by and construed in accordance with the laws of Republic of Cyprus, without regard to its conflict of law provisions.
- Entire Agreement
8.1 This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether oral or written.
